  2. .TX1 *** INTRODUCTORY PARAGRAPH TO SOFTWARE LICENSE AGREEMENT ***
  3.                   SOFTWARE LICENSE AGREEMENT
  4.  
  5. This agreement is made between {OWNER_NAME} of {OWNER_ADDR}, 
  6. the owner of the licensed software, and {LICENSEE_NAME} of 
  7. {LICENSEE_ADDR}, the undersigned LICENSEE, for the purpose of 
  8. authorizing LICENSEE to use the following software programs or 
  9. systems in LICENSEE'S computer equipment:
  10.  
  11.                  DESCRIPTION OF LICENSED SOFTWARE
  12.  
  13. {SOFTWARE1}
  14. {SOFTWARE2}
  15. {SOFTWARE3}
  16.  
  17. {OWNER_NAME} grants to {LICENSEE_NAME} a non-transferable, non-
  18. exclusive license to copy and use the licensed software in 
  19. {LICENSEE_NAME}'s computer equipment, subject to the following 
  20. terms:
  21.  
  22. {!PARNO}.  Ownership.  The licensed software and any portions or 
  23. copies thereof are the property of {OWNER_NAME} and may not be 
  24. used or copied by LICENSEE except as expressly provided by this 
  25. agreement.  Such software contains trade secrets and proprietary 
  26. information belonging exclusively to {OWNER_NAME}.  LICENSEE 
  27. agrees to protect such information from disclosure to unauthorized 
  28. persons.
  29.  
  30. {!PARNO}.  Term of Agreement.  This agreement shall be 
  31. effective upon the receipt of the licensed software by 
  32. {LICENSEE_NAME} and shall continue in effect thereafter so long 
  33. as LICENSEE continues the use of such software in LICENSEE'S 
  34. computer.
  35.  
  36. .TX2 *** FEE FOR USE OF LICENSED SOFTWARE ***********************
  37. {!PARNO}  License Fee.  {LICENSEE_NAME} agrees to pay a total 
  38. one-time license fee of {LICENSE_FEE} plus any applicable sales 
  39. and use taxes for the use of the licensed software.  The fee 
  40. shall be payable to the owner, as follows:
  41.  
  42. (a)  An initial payment of {INITIAL_PAYMT} upon the execution of 
  43. this Software License Agreement, and
  44.  
  45. (b)  {BALANCE_PAYMT}, which is payable in full within thirty (30) 
  46. days after receipt of the software and forms libraries described 
  47. above.
  48.  
  49. .TX3 *** INSTALLATION CHARGES FOR INSTALLING SOFTWARE SYSTEM ****
  50. {!PARNO}.  Installation.  In addition to the license fee 
  51. provided for above, LICENSEE agrees to pay to {INSTALLER_NAME} 
  52. a fee for installation of the licensed software on LICENSEE's 
  53. computer equipment in the amount of {INSTALLATION_FEE}.  This 
  54. provision shall NOT constitute an agreement by {INSTALLER_NAME} 
  55. to provide additional programming or related services upon the 
  56. request of LICENSEE.
  57.  
  58. .TX4 *** SOFTWARE PROTECTION, WARRANTIES AND DISCLAIMERS ********
  59. {!PARNO}.  Copies.  {LICENSEE_NAME} may make work copies and 
  60. backup copies of the licensed software for use in LICENSEE'S 
  61. computer and shall take reasonable precautions to protect it, 
  62. and any copies thereof, from theft, unauthorized copying or 
  63. distribution.
  64.  
  65. {!PARNO}.   Warranty and Disclaimers.  {OWNER_NAME} 
  66. warrants the diskettes on which the software is delivered to 
  67. {LICENSEE_NAME} to be free of defects in materials and 
  68. workmanship under normal use for 60 days after delivery to 
  69. LICENSEE.  During the 60-day period, {LICENSEE_NAME} may return 
  70. any defective diskette and it will be replaced without charge 
  71. unless it has been damaged by accident or misuse.  Replacement 
  72. of such diskette shall be LICENSEE'S sole remedy in the event 
  73. of a defect.
  74.  
  75. Except for the express warranty, above, {OWNER_NAME} disclaims 
  76. all warranties, either express or implied, with regard to the 
  77. licensed software, including the implied warranties of 
  78. merchantability and fitness for a particular purpose.  In no 
  79. event shall the owner's liability to {LICENSEE_NAME} with regard 
  80. to this license exceed the sum paid by LICENSEE for this license 
  81. and in no event shall the owner by liable for incidental or 
  82. consequential damages of any nature whatsoever.

  84. .TX5 *** CONCLUSION OF SOFTWARE LICENSING AGREEMENT *************
  85. This agreement contains the entire agreement between the parties, 
  86. merges and supercedes all prior discussions relating to the 
  87. subject matter of this agreement, and may only be amended in 
  88. writing signed by the parties hereto.

  99. .TX6 *** INTRODUCTION TO A HUNTING & FISHING LICENSE AGREEMENT **
  100.                        HUNTING AND FISHING
  101.                  EASEMENT AND LICENSE AGREEMENT

  103. This agreement is made between {GRANTOR_NAME} of {GRANTOR_ADDR}, 
  104. hereinafter referred to as GRANTOR, and the undersigned Hunting 
  105. and Fishing LICENSEES, for the purpose of granting to said 
  106. LICENSEES an exclusive easement and license to hunt and fish on 
  107. the following described property, subject to the terms and 
  108. conditions hereof.

  115. {PARNO}.  In consideration of the payment of the sum of {LICENSE_FEE},

  118. for the period from {BEGIN_DATE} to {END_DATE}, for that purpose 
  119. the right to develop, operate and maintain a private hunting and 
  120. fishing area for said LICENSEES.
  121.  
  122. .TX7 *** PREMISES TO BE USED BY OWNER FOR RANCHING & FARMING ****
  123. {PARNO}.  During the term of this license and easement the 
  124. licensed premises will be used for ranching and farming purposes 
  125. by the owner, {GRANTOR_NAME}, or by {GRANTOR_HIS/HER/THEIR} their 
  126. associates or tenants.
  127.  
  128. .TX8 *** LICENSEES' LIABILITY FOR DAMAGE FROM NEGLIGENCE ********
  129. {PARNO}.  Each of the LICENSEES agrees that his use of the 
  130. licensed premises will not unreasonably interfere with the use 
  131. of the premises for farming and ranching purposes and that he 
  132. will compensate the owners, their associates or tenants for any 
  133. loss of, or injury to, domestic animals and for substantial 
  134. damage to the licensed premises resulting from his negligence in 
  135. the use of the licensed premises.

  137. .TX9 *** GUESTS OF LICENSEE TO BE ACCOMPANIED BY LICENSEE *******
  138. {PARNO}.  No guests of the LICENSEES shall be permitted to hunt 
  139. or fish on the licensed premises unless accompanied by one or 
  140. more LICENSEES.
  141.  
  142. .TX10 ** RESERVATION BY GRANTOR OF RIGHT TO HUNT & FISH *********
  143. {PARNO}.  GRANTOR on behalf of himself and the owners of the premises 
  144. hereby reserves the right to hunt and fish on the licensed 
  145. premises during the term of this agreement.

  147. .TX11 ** SALE OF PREMISES TO BE SUBJECT TO RIGHTS OF LICENSEES **
  148. {PARNO}.  In the event of the sale of the licensed premises the 
  149. property shall be sold subject to the rights of LICENSEES 
  150. hereunder.
